Book launched ‘Corporate Directors’ Roles, Responsibilities, Powers and Duties of Directors’ penned by advocate Ashish Makhija

lexisNew Delhi: Ashish Makhija’s latest book “Corporate Directors: Roles, Responsibilities, Powers and Duties of Directors” published by LexisNexis, India was launched at the India International Centre, New Delhi, India.

The book was presented by Mr. Makhija and released by the Hon’ble Mr. Justice A.K.Sikri, Judge, Supreme Court of India in the presence of Hon’ble Mr. Justice Manmohan, Judge, high Court of India and other significant dignitaries including Dr. Vishwapati Trivedi, IAS (Retd.), Chairman, National Shipping Board, Ministry of Shipping in the audience. The book launch ceremony was a house full event and was attended by distinguished guests and several eminent leaders from the Ministry of Corporate Affairs, Chairman and Directors of PSUs, Standing Counsels for the Official Liquidator attached to Delhi High Court, Registrar of Companies.
Hon’ble Mr. Justice A.K.Sikri spoke highly about the book and expressed his admiration towards Mr. Makhija for writing a comprehensive commentary on Corporate Directors. He went on to say that the book is an exhaustive book on position of Corporate Directors and is an outstanding piece of literature on Laws on such an areas. He added that the book is written in a structured manner and built brick by brick explaining the wonderful exposition on new concepts like Woman Director, Corporate Social Responsibility, Corporate Governance and many more.
The event was followed by the speech of Hon’ble Mr. Justice Manmohan who praised the work of Mr. Makhija congratulating him for writing such a book which is remarkable to its depth and intensity. He said the approach is not that of an academic describing the structures, roles and responsibilities of boards; rather Mr. Makhija has come with strong points and tips to remove the complexities in the concepts of Directors has elaborated the significance and implications of the concept of directors through this book.
Mr. Makhija is a Chartered Accountant, Cost Accountant and a very successful Lawyer having over 27 years of hands on experience in commercial, corporate and allied laws and the depth of his experience shines through on every page. Written in an easy to read manner, the book starts from the Introduction to Companies Act, 2013 and delves into detailed concepts related to Corporate Directors. The book highlights the roles and responsibilities of Directors, Duties of Directors, Corporate Governance-Practice and Procedure, provisions relating to Board and its Committees leading the Board and General Meetings, How to read financial statements and many more important areas. The high point of the book is the chapter on ‘Safety Net’ which provides practical tips to the directors to remain safe in the domain of uncertainties and complexities.
